Western Iowa Local Area Board Bylaws

WIWD Local Board Bylaws

Representing the Counties of: Audubon, Carroll, Cass, Cherokee, Crawford, Fremont, Greene, Guthrie, Harrison, Ida, Mills, Monona, Page, Plymouth, Pottawattamie, Sac, Shelby and Woodbury.            

1. Board Officers

1.1 The Officers of the Western Iowa Workforce Development (WIWD) Local Board are the Chairperson, Vice-Chairperson and Secretary. The composition of Officers must be elected from Representatives of Business.

2. Election and Term of Office 

2.1 The Chairperson and Vice-Chairperson shall be elected for a two year term.

2.2 Selection of the Chairperson and Vice-Chairperson shall be done by the WIWD Local Board in May of each year. 

2.3 The Chairperson and Vice-Chairperson shall assume office upon election.

2.4 If the position of Chairperson becomes vacant, it will be filled by a Vice-Chairperson. If the position of Vice-Chairperson becomes vacant, the vacancy shall be filled by WIWD Local Board action. 

3. Chairperson 

3.1 The Chairperson shall represent the WIWD Local Board and has the authority to speak on its behalf at local forums, public hearings, or other events.

3.2 The Chairperson shall preside at the meetings of the WIWD Local Board. 

3.3 The Chairperson shall appoint chairs and members of all standing committees and may appoint such other ad hoc committees as deemed necessary. 

3.4 The WIWD Local Board shall meet at the call of the Chairperson.

3.5 The Chairperson shall provide leadership to the WIWD Board. 

3.6 The Chairperson shall develop and maintain a working relationship with the CLEO.

3.7 The Chairperson shall provide supporting materials to the CEO board.

4. Vice-Chairperson

4.1 The Vice-Chairperson shall in the absence of the Chairperson, perform the duties of the Chairperson.  

4.2 The Vice-Chairperson shall perform other duties assigned by the Chairperson.

5. Secretary

5.1 Contingent upon unavailability of the Board Support Staff, the Secretary shall work with the Chairperson to prepare the agenda for each meeting.

5.2 Contingent upon unavailability of the Board Support Staff, the Secretary shall assure that the agenda and Board packets are assembled and distributed before each meeting.

5.3 Contingent upon unavailability of the Board Support Staff, the Secretary shall assure that minutes are recorded and distributed in the Board packets for review and approval.

6. Ex Officio members

6.1 WIWD Local Board members may select alternates to represent them during the WIWD Local Board meetings. Alternates do have voting privileges.

6.2 Ex Officio members are allowed at the discretion of the WIWD Local Board.

 Ex Officio members do not have voting privileges. 

7. Member Attendance

7.1 Any person appointed to the WIWD Local Board may be removed by a majority vote of the CEO Board for good cause including but not limited to excessive absences, change in occupational status, or violation of board policies. A member who has been removed will be notified in writing.

8. Board Meetings 

8.1 The presence of a quorum of the Board for any Board meeting shall be determined by the Board Support Staff or Secretary at the outset of each meeting, based on the following:

8.2 Quorum, as used in these Bylaws, shall be defined as the minimum number of members who must be present at a meeting for the transaction of business (majority fifty-one percent).

8.3 Meetings of the WIWD Local Board shall be conducted in accordance with the provisions of the Iowa Open Meetings Law. 

8.4 All meetings shall be conducted in general accordance with the current edition of Roberts Rules of Order. Participation by telephone or electronic means shall be deemed to be present and included in all votes.

9. Conflict of Interest

9.1 If a member of the WIWD Local Board has an interest, either direct or indirect, in a contract to which the Board is or is to be a party, the interest shall be disclosed to the WIWD Local Board and shall be set forth in the minutes of a meeting of the WIWD Local Board. The member having the interest shall not participate in any action by the WIWD Local Board with respect to the contract. This provision does not limit the right of a member of the WIWD Local Board to acquire an interest in bonds, or limit the right of a member to have an interest in a bank or other financial institution in which the funds of the Board are deposited or which is acting as a trustee or paying agent under a trust indenture to which the Board is a part. 

9.2. If the Chairperson or another WIWD Local Board member serves on any board that deals with IWD issues, the appearance of conflict of interest shall be avoided through the following process:

9.2 a) The Chairperson would step down for the motion and abstain from voting on any issue pertaining to and all boards on which they serve.

9.2 b) Any Local Board members would abstain from voting on any issue pertaining to any and all boards on which they serve.   

10. Committees 

The WIWD Local Board shall establish standing committee’s for Finance, Policy, Executive and or other temporary committees as necessary.  

11. WIWD Board Support 

11.1 Board support will be provided either by contract or appointment by action of the the local board or the CEO board if conditions warrant.

12. Complaints/Appeals 

12.1 If any party from the WIWD Local Board region wishes to appeal a WIWD Local Board decision, they may do so by notifying the Chairperson in writing. The Chairperson will follow this procedure to address the appeal. 

12.1a) upon receipt of the intent to grieve or appeal a WIWD Local Board Decision (by the Board Chairperson), the WIWD Local Board, at its next meeting, will establish a hearing date before the next regular WIWD Local Board Meeting. If the scheduling of meetings does not allow a response within 60 days, the Chairperson will meet with the Vice-Chairperson to complete this step. 

12.1b) The Chairperson will determine who will hear the appeal. If the complainant wishes to appeal the results, it would go to the Executive committee with the following exception:

12. 1c) Exception: complaints lodged specifying serious misconduct by any Officers of the WIWD Local Board including, but not limited to, discrimination, harassment and/or misappropriations will automatically be forwarded to the CEO Board for final review.

12.1d) the Executive committee and/or CEO Board will hear the appeal or grievance, and then make its response at the next WIWD Local Board meeting and in writing to the appealing party. The Executive Committee and/or CEO Board may do its own research between the hearing and the meeting if it wishes. 

13. Amendment

13.1 These bylaws may be amended at any regularly scheduled meeting of the WIWD Local Board meeting, provided that the amendment has been submitted 10 days in advance to all members in writing. These bylaws also may be similarly amended at any special meeting of the WIWD Local Board called solely for that purpose provided 10 day advance notice was given in writing.
